Business Terms of Sale
Last updated: 1 June 2026
Please read these Terms of Sale carefully before placing an order with us.
These Terms set out the basis on which Decorative Mouldings UK Ltd, trading as British Mouldings, supplies Goods to business and trade customers.
These Terms apply where you purchase Goods wholly or mainly for purposes relating to your trade, business, craft or profession.
If you are purchasing wholly or mainly for personal purposes outside your trade, business, craft or profession, our Consumer Terms of Sale apply instead.
Â

3. Application of these Terms
These Terms apply to Contracts under which you purchase Goods wholly or mainly for purposes relating to your trade, business, craft or profession.
These Terms apply whether an Order is placed through Our Site, by email, telephone, quotation, invoice or another method agreed by Us.
Our Consumer Terms of Sale do not apply to a Business Customer.
Any terms or conditions which you seek to impose or incorporate, including terms contained in a purchase order, procurement system or other customer document, will not apply unless We expressly agree to them in writing.
No variation of these Terms will be binding unless expressly agreed by Us in writing.
If there is any conflict between these Terms and specific written terms expressly agreed by Us for a particular Contract, the expressly agreed terms will take precedence to the extent of that conflict.
Â
4. Quotations
Unless expressly stated otherwise, a quotation provided by Us is an invitation to place an Order and does not constitute an offer capable of acceptance.
Quotations are based on the information available to Us at the time they are prepared.
Unless expressly stated otherwise, quotations do not include responsibility for verifying site dimensions, calculating quantities, assessing structural suitability or determining installation requirements.
Any quotation is valid for the period stated on it. If no validity period is stated, We may withdraw or revise the quotation at any time before We accept your Order.
We may revise a quotation where the scope, quantities, specifications, delivery requirements or other information supplied to Us changes.
Â
5. Goods and descriptions
We will make reasonable efforts to ensure that descriptions, measurements, photographs and other information relating to Goods are accurate.
Images are illustrative and colours and appearance may vary because of photography, lighting, screen settings, raw materials and the handmade nature of the Goods.
Measurements and weights are approximate unless expressly stated otherwise.
Packaging may differ from photographs or descriptions shown on Our Site.
We reserve the right to make minor changes to Goods where those changes do not materially affect their overall appearance, function or agreed specification.
Â
6. Handmade fibrous plaster
Our fibrous plaster mouldings are traditionally manufactured by hand.
Minor variations can occur between individual pieces and between manufacturing batches.
These may include minor surface variations, casting marks, minor hairline marks, slight dimensional variation and other characteristics associated with traditional handmade fibrous plaster manufacture.
Such characteristics do not necessarily constitute defects.
Fibrous plaster is rigid, fragile and comparatively heavy and requires appropriate handling, storage, fixing, installation and finishing.
Normal installation and finishing may include cutting, joining, filling joints and fixing points, making good, surface preparation and decoration.
Where matching Goods are required for the same project, We recommend ordering the full anticipated quantity together where reasonably possible.
Â
7. Measurements, quantities and customer responsibility
Unless We have expressly agreed in writing to undertake measurement or quantity calculations as part of Our services, you are responsible for determining the dimensions and quantity of Goods required for your project.
You should obtain the required measurements and quantities from your installer, contractor or another suitably competent person.
You are responsible for checking all measurements, dimensions, quantities, product references and specifications before placing your Order.
Where you provide measurements, drawings, schedules, templates, samples, quantities, specifications or other information, We are entitled to rely on that information as being complete and accurate.
We are not responsible for errors, shortages, excess quantities, additional costs, delays or other losses arising from inaccurate or incomplete measurements, quantities, specifications or other information supplied by you or on your behalf.
Any quantity guidance provided by Us is general guidance only unless We have expressly agreed in writing to undertake responsibility for calculating the quantities required for your project.
For cornice, panel mouldings and other Goods requiring cutting and joining, We recommend allowing at least 10% additional material for cuts and wastage.
The appropriate allowance may be greater depending on room dimensions, corners, pattern repeats, layout, installation method, site conditions and the complexity of the project.
The 10% recommendation is guidance only. You remain responsible for determining and ordering the quantity required.
Â
8. Product suitability and installation
Unless We have expressly agreed otherwise in writing, you are responsible for determining whether the Goods are suitable for the intended project, location and method of installation.
Ceiling roses and other heavier mouldings require suitable structural support and an appropriate fixing method.
You are responsible for ensuring that installers and contractors handling or fitting the Goods are appropriately competent and familiar with traditional fibrous plaster where appropriate.
Advice provided by Us concerning installation, fixing, quantities or suitability is general guidance unless We have expressly agreed in writing to provide a professional design, surveying, structural, quantity calculation or installation service.
Where British Mouldings is separately contracted to carry out installation, the scope and terms applicable to that installation will be set out in the relevant quotation, Contract or other written agreement.
Â
9. Customer specifications and approvals
Where Goods are manufactured or modified in accordance with information supplied or approved by you, you are responsible for ensuring that the information is accurate and suitable for its intended purpose.
This includes measurements, drawings, designs, profiles, samples, templates, dimensions, centre holes, modifications and other customer-specific requirements.
Where We provide a drawing, design, sample, photograph or other information for approval, you are responsible for checking it carefully before approving production.
Once you approve a specification, We may rely on that approval when manufacturing the Goods.
Any additional work resulting from a subsequent customer-requested change may be charged separately and may affect production and delivery times.
Â
10. Intellectual property and customer-supplied designs
Where you provide Us with a design, drawing, photograph, sample, moulding, logo or other material for reproduction or manufacture, you confirm that you have the necessary rights and permissions for Us to use it for the purposes of fulfilling your Order.
You will be responsible for losses, liabilities, damages, costs and expenses reasonably incurred by Us as a result of a third-party intellectual property claim arising directly from material or instructions supplied by you, except to the extent caused by Our own act or omission.
Unless otherwise agreed in writing, Our pre-existing moulds, tooling, manufacturing methods, designs, drawings, technical information and other intellectual property remain Our property.
Â
11. Prices and VAT
Prices may be displayed or quoted excluding VAT, including VAT, or both.
Unless expressly stated otherwise, prices quoted to Business Customers are exclusive of VAT.
VAT will be charged at the applicable rate.
Delivery, packaging, installation and other charges are additional unless expressly included in Our quotation or Order Confirmation.
We take reasonable care to ensure that prices are accurate.
If We identify an obvious pricing error before accepting your Order, We may correct the price and ask you to confirm whether you wish to proceed.
We are not obliged to supply Goods at an obviously incorrect price.
Â
12. Placing an Order
You are responsible for checking your Order before submitting it.
You should check, where applicable:
product references and descriptions;
dimensions and measurements;
quantities;
specifications and modifications;
delivery or collection information;
site and access information; and
contact and invoicing details.
If you discover an error after submitting your Order, you must contact Us as soon as possible.
We are not obliged to accept a requested amendment once an Order has been accepted or production has begun.
Â
13. Contract formation
Information on Our Site and quotations issued by Us do not constitute contractual offers unless expressly stated otherwise.
Your Order constitutes an offer to purchase Goods from Us.
For online Orders, payment may be taken at checkout. Taking payment does not by itself constitute acceptance of your Order.
We accept your Order when We issue an Order Confirmation or otherwise expressly confirm acceptance in writing.
The Contract is formed when We accept your Order.
If We cannot accept your Order, We will notify you and refund any payment received for Goods We are unable to supply.
Â
14. Payment
Unless We expressly agree otherwise in writing, payment for the Goods and any applicable delivery charges must be made in full in advance.
For Orders placed through Our Site, payment is normally taken in full at checkout.
For Orders placed directly with Us, We will normally issue a pro forma invoice or other payment request and will not begin production until the required payment has been received in cleared funds.
For certain larger or higher-value Orders, We may agree deposits, staged payments, credit terms or another payment arrangement.
Any alternative payment arrangement applies only where expressly agreed by Us in writing.
Where staged or deferred payments are agreed, you must make each payment in full by the agreed due date.
We may suspend production, delivery, collection or further performance if an amount due to Us under the Contract is not paid when due.
Â
15. Late payment
Where We have agreed credit terms, staged payments or another arrangement under which payment becomes due after the Contract is formed, payment must be made by the agreed due date.
If an amount is overdue, We reserve all rights available to Us under the Late Payment of Commercial Debts (Interest) Act 1998 and other applicable law.
This may include the right to claim statutory interest, fixed compensation and reasonable recovery costs where applicable.
Our decision not to exercise a late-payment right immediately does not waive that right.
Â
16. Ownership of Goods
Ownership of Goods will not pass to you until We have received payment in full of all sums due to Us in respect of those Goods.
Until ownership passes, you must:
take reasonable care of the Goods;
keep them identifiable as Goods supplied by Us where reasonably practicable;
not intentionally destroy, deface or obscure identifying information relating to them; and
not dispose of or encumber the Goods except in the ordinary course of your business.
Risk in the Goods may pass before ownership as set out in Part 22.
Â
17. Production
Most British Mouldings Goods are manufactured to fulfil individual Orders.
We will not normally begin production until We have accepted the Order and received the payment required before production.
Once production has commenced, manufacturing resources, labour and materials may already have been committed to the Order.
You must notify Us immediately if you become aware of any error or required change to the Order.
We are not responsible for additional cost or delay resulting from a customer-requested change after production has begun.
Â
18. Cancellation before production
A Business Customer does not have a statutory cooling-off period equivalent to that applying to consumers.
Before production has begun, you may ask Us to cancel or amend an Order.
Any cancellation or amendment is subject to Our written agreement.
Where We agree to cancellation before production begins, We may deduct or charge reasonable costs already incurred specifically in connection with the Order where applicable.
Any refund or credit will be confirmed by Us.
Â
19. Cancellation after production has commenced
Once production of Goods has commenced, you have no contractual right to cancel the affected Goods.
This applies to standard made-to-order Goods as well as bespoke, customised or modified Goods.
We may, entirely at Our discretion, agree to a cancellation after production has commenced.
If We agree to such a cancellation, We may impose reasonable conditions, including payment for work carried out, materials committed, completed Goods, administration, storage, transport or other costs arising from the cancellation.
Our agreement to accept a cancellation on one occasion does not oblige Us to accept a cancellation on another occasion.
Nothing in this Part limits any right you may have to terminate a Contract because of a material breach by Us which gives you a legal right to do so.
20. Returns by Business Customers
Business Customers do not have an automatic contractual right to return correctly supplied Goods because they are no longer required, have been over-ordered, are unsuitable for the customer’s project or because the customer has otherwise changed its mind.
Any return of correctly supplied Goods requires Our prior written agreement.
We may refuse a proposed return.
Where We agree to accept a return, We may specify conditions including:
the Goods to be returned;
the required condition of the Goods;
the return method and deadline;
responsibility for transport and insurance;
any inspection requirements; and
any agreed deduction, handling charge, restocking charge or other commercial adjustment.
Unless We expressly agree otherwise, you are responsible for arranging and paying for return transport.
Bespoke, customised, modified, used, installed, cut, filled, sanded, painted or otherwise altered Goods will not normally be accepted for return unless they are defective or We expressly agree otherwise in writing.
21. Delivery and collection methods
Depending on the Goods, Order and delivery location, available fulfilment methods may include:
Collection from Norwich
Small Item Delivery
Large Item Delivery
The applicable method and charges will be shown, quoted or otherwise agreed as part of the Order.
22. Risk
Risk of loss or damage to the Goods passes to you:
for Small Item Delivery or Large Item Delivery, when the Goods are delivered to the agreed delivery location;
for Collection from Norwich, when the Goods are handed to you or your representative; or
where you arrange your own carrier or transport provider, when the Goods are handed to that carrier or transport provider.
Once risk has passed, you are responsible for appropriate handling, protection, storage and insurance of the Goods.
23. Collection from Norwich
Where Collection from Norwich is agreed, We will notify you when the Goods are ready.
Goods may be collected from:
British Mouldings
8 Hurricane Way
Norwich
Norfolk
NR6 6EY
You must not attend to collect Goods until We have confirmed that they are ready.
You are responsible for providing a vehicle suitable for the dimensions, weight and fragile nature of the Goods and for securing and protecting them appropriately.
Where your employee, contractor, courier or other representative collects the Goods, that person will be treated as authorised by you to receive them unless you have notified Us otherwise in advance.
24. Small Item Delivery
Goods suitable for parcel transport may be supplied using Small Item Delivery.
Small Item Delivery may be carried out by a third-party carrier.
You are responsible for providing accurate delivery and contact information and making reasonable arrangements to receive the Goods.
You should inspect the Goods promptly following delivery and comply with Part 29 if you believe that they have been damaged in transit.
25. Large Item Delivery
Large, long or particularly fragile Goods, including 3 metre cornice and other mouldings unsuitable for normal parcel networks, may require Large Item Delivery.
Large Item Delivery is normally carried out using Our own vehicles or another suitable transport arrangement selected by Us.
You must provide accurate information concerning the delivery location and any access restrictions that may affect delivery.
Unless expressly agreed otherwise, delivery is to a suitable accessible point at the delivery address.
You are responsible for providing suitable labour, equipment and facilities to receive and move the Goods where reasonably required.
Our delivery personnel are not obliged to move Goods through a building, upstairs, onto scaffolding or to another location that is unsafe, inaccessible or outside the agreed delivery arrangements.
26. Lead times and delivery dates
Production, dispatch and delivery dates provided by Us are estimates unless We expressly agree otherwise in writing.
Estimated lead times may vary according to production workload, Order size, manufacturing requirements, availability of materials, transport arrangements and other relevant circumstances.
Time for delivery is not of the essence of the Contract unless We expressly agree otherwise in writing.
We will make reasonable efforts to meet estimated production and delivery times but We do not guarantee them.
You should not arrange installers, contractors, access equipment, site closures or other commitments which depend upon delivery of the Goods unless you have made appropriate allowance for possible changes to the estimated delivery date.
We will not be responsible for costs arising solely because you arranged labour, contractors or other commitments in reliance upon an estimated delivery date, subject always to Part 35 and applicable law.
27. Delayed delivery
If We become aware of a material delay, We will make reasonable efforts to notify you.
A delay does not entitle you to cancel an Order or reject Goods unless:
We have expressly agreed in writing that delivery by a particular date is essential;
the delay amounts to a material breach giving rise to a legal right to terminate; or
We otherwise agree to cancellation in writing.
Where a delay is caused by an event outside Our reasonable control, Part 37 applies.
28. Failed delivery and redelivery
You are responsible for providing accurate delivery details, access information and contact details.
You must ensure that somebody authorised to receive the Goods is available where required.
Small Item Delivery
Where Goods are returned to Us following unsuccessful delivery attempts for reasons attributable to you, We may charge the reasonable costs of redelivery, handling and any return transport incurred.
Large Item Delivery
Where Large Item Delivery cannot be completed because nobody is available to receive the Goods, suitable access has not been provided, unloading cannot safely take place, or materially incorrect or incomplete information has been supplied, We may return the Goods to Our premises.
You will be responsible for reasonable additional transport, handling and storage costs arising from a failed delivery attributable to you.
A further delivery will be arranged subject to availability and may require payment of those additional costs in advance.
29. Inspection and notification of damage
You should inspect the Goods as soon as reasonably practicable following delivery or collection.
If Goods have visible transit damage, are incorrect, or you believe that they are defective, you must notify Us promptly and provide sufficient information for Us to investigate.
Where reasonably possible, visible transit damage should be reported within 48 hours.
Prompt reporting is important because it allows Us to investigate the circumstances and, where relevant, raise a claim with a carrier.
You should retain the Goods and all relevant packaging while the issue is being investigated.
We may require photographs showing:
the Goods;
the alleged defect or damage;
internal packaging;
external packaging; and
visible damage to the packaging.
You must not repair, alter, install or dispose of Goods which you claim are defective without giving Us a reasonable opportunity to investigate, where doing so would materially prejudice Our ability to assess the claim.
Failure to notify Us within 48 hours will not automatically extinguish a valid legal claim, but delay which materially prejudices Our ability to investigate may be relevant when determining the claim.
30. Defective or incorrectly supplied Goods
If Goods do not conform to the Contract because of a defect for which We are legally responsible, or because We have supplied the wrong Goods, you must give Us a reasonable opportunity to investigate and, where appropriate, remedy the issue.
Subject to applicable law and the circumstances, We may elect to repair or replace affected Goods, provide a reasonable price adjustment or refund, or provide another appropriate remedy.
We may require Goods to be returned or made available for inspection.
Where Goods are established to be defective because of a matter for which We are responsible, We will bear reasonable return or collection costs where legally required or otherwise agreed.
We are not responsible for defects or damage caused after risk has passed by inappropriate handling, transport, storage, fixing, installation, finishing, alteration, repair, misuse, unsuitable environmental conditions or failure to follow appropriate instructions or trade practice.
31. Storage and handling
Fibrous plaster is fragile and must be stored, handled and transported appropriately.
Once risk has passed to you, you are responsible for protecting the Goods against impact, moisture, inappropriate stacking, movement, site damage and other reasonably foreseeable risks.
You must ensure that persons handling the Goods understand their fragile nature.
We are not responsible for deterioration or damage caused by inappropriate storage or handling after risk has passed.
32. Additional Goods and repeat Orders
If additional Goods are required because insufficient quantities were originally ordered, those Goods will constitute a new Order unless We agree otherwise.
Additional Goods will be subject to:
current prices;
applicable production lead times;
applicable delivery charges; and
availability at the time of the additional Order.
Because Goods are handmade, minor variations may occur between separate manufacturing batches.
We do not guarantee that Goods ordered later will be identical in every minor respect to Goods supplied under an earlier Order.
33. Installation services
Where We are contracted only to supply Goods, installation is not included.
You are responsible for arranging competent installation and for determining that the building, substrate, fixings and supporting structure are suitable.
Where We separately agree to provide installation services, the scope, price and any project-specific conditions will be set out in Our quotation, Order Confirmation or another written agreement.
Unless expressly agreed otherwise, a contract for supply of Goods does not make Us responsible for the acts or omissions of an installer independently appointed by you.
34. Excluded losses
Subject to Part 36 and to the extent permitted by law, We will not be liable for any indirect or consequential loss arising out of or in connection with the Contract.
Subject to Part 36 and to the extent permitted by law, We will not be liable for:
loss of profit;
loss of revenue;
loss of business;
loss of contracts;
loss of anticipated savings;
loss of goodwill;
loss of business opportunity; or
costs or losses arising from delays to your own works, contractors or project programme.
Nothing in this Part affects any liability which cannot lawfully be excluded or limited.
35. Limitation of liability
Subject to Part 36 and to the extent permitted by law, Our total aggregate liability arising out of or in connection with a Contract, whether arising in contract, tort including negligence, misrepresentation, breach of statutory duty or otherwise, will not exceed 100% of the total price paid or payable by you under the Contract giving rise to the claim.
This limit applies to all claims arising out of or in connection with the relevant Contract in aggregate and not separately to each individual claim.
The exclusions in Part 34 and the limitation in this Part are separate provisions. If any exclusion in Part 34 is found to be ineffective or unenforceable, that will not of itself prevent the limitation in this Part from applying, to the extent permitted by law.
Nothing in this Part excludes or limits any liability identified in Part 36.
36. Liability which cannot be excluded
Nothing in these Terms excludes or limits Our liability for:
death or personal injury caused by Our negligence;
fraud or fraudulent misrepresentation; or
any other liability which cannot lawfully be excluded or limited.
Any exclusion or limitation contained in these Terms applies only to the extent permitted by law.
37. Events outside Our reasonable control
We will not be liable for failure or delay in performing Our obligations where that failure or delay results from circumstances outside Our reasonable control.
Such circumstances may include:
severe weather;
flood or fire;
transport disruption;
industrial disputes;
failure of utilities;
major machinery or equipment failure;
interruption to supply chains;
shortage or unavailability of materials;
acts or restrictions of government or public authorities;
epidemic or pandemic;
war, civil disturbance or terrorism; and
other events which We could not reasonably prevent.
If such circumstances affect performance, We may suspend the affected obligations for the duration of the event and will make reasonable efforts to minimise its effects.
Where an event continues for a prolonged period and materially prevents performance, either party may have a right to terminate the affected part of the Contract where reasonable in the circumstances.
Any accrued payment obligations and rights existing before termination will remain unaffected.
38. Suspension and termination
We may suspend performance or terminate the Contract by written notice where you:
fail to pay an amount when due and do not remedy that failure following reasonable notice where appropriate;
commit a material breach of the Contract and fail to remedy a remediable breach within a reasonable period after being asked to do so;
become insolvent, enter administration or liquidation, cease or threaten to cease trading, or become subject to another relevant insolvency procedure, subject to applicable law; or
provide information or instructions which make it unlawful or materially impracticable for Us to perform the Contract.
Where We terminate because of your breach, you remain responsible for amounts properly due for Goods manufactured, work completed, materials reasonably committed and other sums recoverable under the Contract or applicable law.
39. Confidentiality
Each party must keep confidential any confidential commercial, technical or financial information received from the other in connection with the Contract and must not disclose it except:
to employees, professional advisers, contractors or representatives who need the information for the purposes of the Contract and are subject to appropriate confidentiality obligations;
where required by law, regulation or a competent authority; or
with the other party’s written consent.
This Part does not apply to information which is already lawfully public or was lawfully known to the receiving party without restriction.
40. Personal information
Where We process personal information in connection with an Order, We will do so in accordance with applicable data protection law and Our Privacy Policy.
Each party is responsible for complying with its own data protection obligations.
41. Assignment and subcontracting
You may not assign or transfer your rights or obligations under the Contract without Our prior written consent.
We may assign, transfer or subcontract Our rights or obligations where doing so does not materially reduce the contractual rights you have against Us.
Use of a subcontractor does not relieve Us of obligations for which We remain legally responsible.
42. Notices
Notices relating to the Contract may be given by email or post using the contact details most recently provided by the relevant party.
Routine operational communications concerning production, delivery, collection and Orders may also be made by telephone or other agreed communication methods.
A party must notify the other promptly if its relevant contact details change.
43. Entire agreement
The Contract constitutes the entire agreement between you and Us concerning the relevant Order and supersedes previous discussions, correspondence and representations relating to it.
Each party acknowledges that in entering into the Contract it does not rely on any statement, representation, assurance or warranty which is not set out in the Contract, except that nothing in this Part excludes liability for fraud or fraudulent misrepresentation.
Where a specific representation or requirement is important to your decision to place an Order, you should ensure that it is expressly recorded in writing as part of the Contract.
44. No waiver
If We do not immediately enforce a right under the Contract, that does not mean We have waived it.
A waiver is effective only in relation to the particular matter for which it is given.
45. Severance
If any provision or part of a provision of these Terms is found to be invalid, unlawful or unenforceable, it will be treated as removed or modified to the minimum extent necessary.
The remaining provisions will continue in effect.
46. Third-party rights
Unless expressly stated otherwise, the Contract is between you and Us.
No other person has any right to enforce any term of the Contract under the Contracts (Rights of Third Parties) Act 1999.
47. Governing law and jurisdiction
These Terms and every Contract between you and Us are governed by the law of England and Wales.
The courts of England and Wales will have exclusive jurisdiction to determine any dispute or claim arising out of or in connection with these Terms or a Contract, including non-contractual disputes or claims.
